The UK subsidiaries of this
multinational manufacturer struggled
to keep its paperwork in order: a
takeover had precipitated some resignations
and crucial information had been lost
or mislaid.
The company failed to submit accounts
on time. Company Law International
was brought in, and we obtained an
extended filing date from Companies
House. The company missed this deadline
too, but Company Law International
was able to have the date extended
once again - an unprecedented allowance.
We liaised with the auditors and head
office, finally achieving the requisite
filings.
The following year, despite our warnings,
the filing was late again. The auditors
again were unable to comply with our
alerts, and, after a second failure,
Companies House issued legal proceedings.
We managed to have these set aside,
saving the officers from a criminal
record.
Our efforts in this direction were
greatly appreciated by the company,
so much so that they then retained
Company Law International - rather
than the incumbent solicitors - to
perform the task of merging the four
UK subsidiaries.
Benefits
- Company Law International literally
kept this company's directors out
of jail, mediating the demands of
Companies House, Head Office and
auditors;
- The compliance that we performed
put the company on the right legal
footing to move forward, and the
quality of our work precipitated
our retention for further, larger
projects.
