This quoted company had just acquired
some overseas subsidiaries, and retained
Company Law International to co-ordinate
the project and ensure that their
world-wide business was put on a proper
footing.
We not only managed this project,
but also recommended the right software
to keep track of their global interests,
training the Assistant Company Secretary
in basic Company Secretarial practice
and the computer package, in order
to leave the department in a state
from which they would be able to manage
their own records thereafter.
In the course of this project, we
noticed that some paperwork was missing,
and that some shares, which they thought
they had acquired, had not technically
been issued. The two professional
firms in question had thought that
the other was fulfilling this requirement.
We identified, investigated and corrected
this major anomaly.
