The Companies Act 2006 (“2006
CA”) which received Royal Assent on
8th November 2006 is
gradually coming into effect. Some
provisions have already been
implemented between January and
October 2007 and further provisions
will be implemented in April and
October 2008. The entire Act is set to
be fully implemented by October 2009.
Most provisions
of the Companies Act 1985 and 1989 are
restated by the 2006 Act. However,
some major changes were introduced for
private companies, including in
particular provisions on directors’
duties, derivative actions and Annual
General Meetings.
